Agreement to Terms
By accessing or using any services provided by Camisun Digital ("Company," "we," "us," or "our") through the Dilly platform ("Platform"), including DillyPay, DillyShop, DillyPOS, and DillyMart (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms").
If you are using the Services on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use our Services.
Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Be capable of forming a binding contract under applicable law
- Not be prohibited from using the Services under the laws of The Bahamas or any other applicable jurisdiction
- Provide accurate, current, and complete registration information
By using the Services, you represent and warrant that you meet all eligibility requirements.
Description of Services
Dilly is an e-commerce ecosystem designed to help Caribbean businesses manage and grow their operations. The Platform consists of the following modules:
DillyPay
Professional invoicing and payment collection system
DillyShop
E-commerce store builder for online sales
DillyPOS
Point-of-sale system for in-person transactions
DillyMart
Marketplace connecting Caribbean buyers and sellers
Each module may be used independently or integrated with other Dilly modules. The availability of specific features depends on your subscription plan.
Account Registration
4.1 Account Creation
To access the Services, you must create an account by providing:
- Your full legal name or business name
- A valid email address
- A secure password
- Business information as required
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.3 Account Accuracy
You agree to provide accurate and complete information during registration and to keep this information current. We reserve the right to suspend or terminate accounts with inaccurate or fraudulent information.
Subscription Plans and Payment
5.1 Subscription Options
We offer monthly and annual subscription plans. Plan details, features, and pricing are available on our website at dillyhq.com/pricing. Prices are displayed in US Dollars (USD) unless otherwise specified.
5.2 Free Trial
We may offer a free trial period for new users. At the end of the trial period, your account will require a paid subscription to continue accessing the Services. We will notify you before your trial expires.
5.3 Billing
By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis (monthly or annually, depending on your plan) until you cancel your subscription.
5.4 Payment Processing
Payments are processed through third-party payment processors, including PayPal and Plug n Pay. By using our Services, you agree to comply with the terms and conditions of these payment processors. We do not store your credit card or payment card details directly.
5.5 Price Changes
We reserve the right to change our pricing at any time. Price changes will be communicated to you at least 30 days before taking effect. Continued use of the Services after a price change constitutes acceptance of the new pricing.
Cancellation and Refunds
6.1 14-Day Money-Back Guarantee
All new paid subscriptions are covered by a 14-day money-back guarantee. If you are not satisfied within the first 14 days of your paid subscription, you may request a full refund by contacting us at legal@dillyhq.com.
Note: The 14-day period begins on the date your first payment is processed, not the start of any free trial.
6.2 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your subscription remains active until the end of your current billing period
- Your account will transition to read-only mode after the billing period ends
- You retain access to view and export your data while in read-only mode
6.3 Refunds After 14 Days
Monthly Subscriptions: No refunds are provided for partial months after the 14-day money-back guarantee period. Cancellations take effect at the end of the current billing period.
Annual Subscriptions: If you cancel an annual subscription after the 14-day money-back guarantee period, you may be eligible for a prorated refund for unused full months remaining in your subscription term, calculated from the date of cancellation. Refund requests must be submitted within 30 days of cancellation.

6.4 Account Deletion
If you choose to delete your account entirely:
- Your data will be soft-deleted and retained for 7 days
- After 7 days, all data will be permanently deleted
- This action is irreversible after the 7-day retention period
Acceptable Use
7.1 Permitted Use
You may use the Services only for lawful business purposes in compliance with these Terms and all applicable laws.
7.2 Prohibited Conduct
You agree NOT to:
- Use the Services for any illegal or unauthorized purpose
- Violate any laws in your jurisdiction, including tax and regulatory requirements
- Transmit viruses, malware, or other malicious code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of the Services
- Collect or harvest user information without consent
- Use the Services to send spam or unsolicited communications
- Impersonate another person or entity
- Use automated means to access the Services without our permission
- Sublicense, resell, or redistribute the Services without authorization
- Use the Services to process transactions for illegal goods or services
- Engage in money laundering, fraud, or other financial crimes
7.3 Rate Limiting
Our Services implement rate limiting to ensure fair use and system stability. Excessive or abusive API requests may result in temporary or permanent restrictions on your account.
Payment Processing Terms
8.1 Bring Your Own Processor
Dilly operates on a "bring your own payment processor" model. You are responsible for:
- Establishing and maintaining your own merchant accounts with supported payment processors
- Complying with all terms and conditions of your payment processor agreements
- All fees charged by your payment processors
8.2 Supported Payment Processors
We currently support integration with:
- PayPal
- Plug n Pay
Additional payment processors may be added in the future.
8.3 Payment Disputes
Any disputes regarding payments processed through your integrated payment processor must be resolved directly with that processor. We are not liable for chargebacks, disputes, or payment issues arising from your use of third-party payment processors.
8.4 Currency
The Platform supports multiple currencies, including US Dollars (USD) and Bahamian Dollars (BSD). You are responsible for understanding and complying with currency regulations in your jurisdiction.
Intellectual Property
9.1 Our Intellectual Property
The Services, including all software, design, text, graphics, logos, and other content, are owned by Camisun Digital and protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes, subject to these Terms.
9.2 Your Content
You retain ownership of all content, data, and materials you upload to the Platform ("User Content"). By using the Services, you grant us a limited license to use, store, and process your User Content solely to provide the Services to you.
9.3 Feedback
If you provide feedback, suggestions, or ideas about our Services, we may use this feedback without any obligation to compensate you.
Data and Privacy
Your use of the Services is also governed by our Privacy Policy, available at dillyhq.com/privacy, which is incorporated into these Terms by reference.
Third-Party Services
11.1 Integrations
The Services may integrate with third-party services, including payment processors, shipping providers, and other business tools. Your use of third-party services is subject to their respective terms and conditions.
11.2 Links
The Platform may contain links to third-party websites. We are not responsible for the content or practices of these websites.
Service Availability
12.1 No Uptime Guarantee
While we strive to maintain high availability, we do not guarantee uninterrupted access to the Services. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
12.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Services.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL MEET YOUR REQUIREMENTS
- THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM THE SERVICES WILL BE ACCURATE OR RELIABLE
- ANY ERRORS IN THE SERVICES WILL BE CORRECTED
Limitation of Liability
14.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAMISUN DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, REVENUE, OR DATA
- BUSINESS INTERRUPTION
- COST OF SUBSTITUTE SERVICES
- DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES
14.2 Cap on Liability
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
14.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.
Indemnification
You agree to indemnify, defend, and hold harmless Camisun Digital, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your User Content
- Any dispute between you and your customers
Governing Law and Dispute Resolution
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of The Bahamas, without regard to its conflict of law provisions.
16.2 Jurisdiction
Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Nassau, The Bahamas.
16.3 Informal Resolution
Before initiating any legal proceedings, you agree to contact us at legal@dillyhq.com and attempt to resolve the dispute informally for at least 30 days.
General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Camisun Digital regarding your use of the Services.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure
We shall not be liable for any failure to perform our obligations where such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on our website
- Sending an email to your registered email address
- Displaying a notice within the Platform
Your continued use of the Services after such changes constitutes acceptance of the modified Terms.
